This report examines the corporate governance of Smith & Nephew plc, a UK-based multinational corporation that is ranked as one of the top performing companies in the world. The report further analyzes whether Smith & Nephew complies with the UK Corporate Governance Code and highlights the areas where it has failed to comply with the code. It examines five aspects of the company's governance; these are; leadership, effectiveness, accountability, remuneration, and relations with shareholders. The report finds that Smith & Nephew adheres to the Code in a majority of its operations, except for three areas; gender balance, executive compensation, and employee representation. It also recommends how these areas of non-compliance may be rectified to ensure that all it protects and balances the interests of all its stakeholders.
